SOPARFI: what a French resident should check
Luxembourg SOPARFI: the participation exemption, the substance required, and how French tax law looks at the holding.

The situation
You are offered the possibility of contributing your shareholdings to a Luxembourg company, or of holding an investment through one. The argument put forward is the exemption of dividends and capital gains on participations.
The argument is correct. What it leaves out is the second step: what France does with a foreign entity held by one of its residents.
What the rules say
| Luxembourg side | French side |
|---|---|
| Exemption of dividends and gains on participations, subject to conditions of holding level, duration and the qualities of the subsidiary | possible taxation of the resident on the income of a foreign entity with a privileged regime (article 123 bis) |
| A fully taxable company, entitled to treaty benefits | for a French parent company, possible taxation of the foreign entity’s profits (article 209 B) |
| Local accounting and governance duties | anti-abuse clauses, abuse of law, and the beneficial owner requirement for withholding tax relief |
What the firm does with those rules
The work answers three questions, in this order.
Is the structure useful? For a purely French holding, it usually adds nothing, and that is exactly the kind of judgment a consultation settles before the incorporation costs are incurred.
Is the substance real? Effective management in Luxembourg, board meetings held there, resident directors, local accounts, own resources, and an economic reason for choosing Luxembourg. Without that, the company may be treated as French for tax purposes, with the full French corporate tax attaching.
Are the French reporting duties met? The shareholding, foreign bank accounts, specific returns. Failure opens an extended assessment period. See regularising foreign assets.
Frequently asked questions
Is a SOPARFI lawful for a French resident?
Yes. What is penalised is the absence of substance and an arrangement with an exclusively tax purpose.
What conditions apply to the participation exemption?
A minimum holding level or acquisition price, a holding period, and a subsidiary meeting the qualities required by Luxembourg law.
What does a SOPARFI without substance risk?
Being treated as having its place of effective management in France, therefore taxable in France, and losing treaty benefits and withholding tax relief.
Must the shareholding be reported in France?
Yes, and the omission is one of the first points raised in an audit.
